The terms that govern your use of Edvias.

Welcome to Edvias.
These Terms of Use ("Terms") govern your access to and use of the Edvias website, applications, software, artificial intelligence features, educational tools and all related services (collectively, the "Services").
These Terms form a legally binding agreement between you and Edvias.
By accessing, browsing, creating an Account or otherwise using the Services, you acknowledge that you have read, understood and agree to be bound by these Terms and all policies incorporated by reference.
If you do not agree to these Terms, you must not access or use the Services.
If you are accessing the Services on behalf of an organisation, educational institution or other legal entity, you represent that you have authority to bind that organisation to these Terms.
If you are under 18 years of age, your use of the Services is subject to the eligibility requirements in Section 5 and any parental, guardian or institutional consent or authorisation required by applicable law.
Edvias is an Australian educational technology platform designed to help students learn through artificial intelligence and other digital learning tools.
The Services are operated by Arzaro Holdings Pty Ltd (ABN 31 701 933 771), trading as Edvias ("Edvias", "we", "us" or "our").
If the ownership or operation of Edvias or the Services is transferred to another entity, these Terms will continue to apply to the extent permitted by law unless and until they are replaced or updated. Any material change to the entity responsible for providing the Services will be communicated where required by applicable law.
Unless the context otherwise requires:

To create and use an individual Edvias Account, you must:
If you are under 18 years of age, your use of the Services may be subject to additional safeguards, restrictions, privacy settings, parental or guardian involvement, institutional controls or age-appropriate features as required by applicable law or determined by Edvias.
Educational Institutions may create, authorise or manage Accounts for students, staff and other authorised users in accordance with applicable law and any separate agreement with Edvias.
Where permitted by applicable law and agreed by Edvias, an Educational Institution may enable access for a student who is under 13, subject to any required parental or guardian consent, institutional authorisation and additional safeguards imposed by Edvias.
Certain features may have higher minimum-age requirements or may be unavailable or restricted for younger users where required by applicable law or where Edvias determines that additional age-appropriate safeguards are appropriate.
We may request reasonable information to confirm a user's age or eligibility where required or appropriate. We may refuse registration, restrict features, suspend access or terminate an Account where the eligibility requirements are not satisfied or where we reasonably believe there has been a material breach of these Terms or our applicable policies.
You may be required to create an Account to access some or all of the Services.

Edvias is designed to support learning, collaboration and educational development.
You may use the Services only for lawful purposes and in accordance with these Terms.

Where you use features such as AI tutoring, messaging, Connections, Study Groups or public profiles, you must also comply with the relevant policies governing those features.
For abundant caution you must familiarize yourself with all the rules and policies of your institution in regard to the use of AI or other such technology to ensure your use of the Services does not infringe those rules or policies. In entering into this agreement you have done so and will continue to keep updated in relation to such rules and policies.

We may also update the technology providers used to operate the Services where appropriate at our sole discretion.
We will use reasonable efforts to minimise unnecessary disruption, but we do not guarantee that every feature will remain available indefinitely and without interruption.
Where changes materially affect paid Services or significantly impact users' rights, we will provide notice where required by applicable law.
Nothing in this section limits any rights you may have under the Australian Consumer Law.
Edvias allows users to create, upload, submit, transmit and share content through the Services.
User Content may include, without limitation:
You retain ownership of your User Content and any intellectual property rights you hold in it. These Terms do not transfer ownership of your User Content to Edvias.
By submitting User Content through Edvias, you grant Edvias a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, transmit and display that User Content only to the extent reasonably necessary to provide, operate, secure and support the Services, comply with applicable law, and enforce these Terms and our policies.
Submitting User Content to Edvias does not automatically make it public or give other users a right to access or use it. Where you choose to share User Content with other users through features such as messaging, Connections or Study Groups, you permit those users to access, view and use that content within the Services for the purpose for which it was shared.
You are responsible for ensuring that you have the necessary rights and permissions to submit or share User Content. You must not upload or share content that infringes another person's intellectual property, privacy, confidentiality or other legal rights.
Edvias may remove or restrict access to User Content where reasonably necessary to enforce these Terms or our policies, protect users or the Services, respond to complaints, or comply with applicable law.
User Content may be processed by service providers acting on our behalf where necessary to provide the Services, as further described in our Privacy Policy.
Where User Content or an Account is deleted, information will be handled in accordance with our Privacy Policy and applicable retention requirements.
Deleting your Edvias Account does not necessarily delete User Content that you previously created, posted or shared through the Services. Certain User Content may remain available after Account deletion, including content shared with other users or posted in Study Groups, discussions or other collaborative areas, where retaining that content is reasonably necessary to preserve conversations, shared resources or the operation of the Services.
Where appropriate, Edvias may remove or de-identify information that directly identifies you in connection with retained User Content, so that the content is no longer displayed as being associated with your deleted Account.
Private User Content and personal information associated with a deleted Account will be handled in accordance with our Privacy Policy, including any applicable retention requirements and the practices of our service providers.
To operate the Services, you grant Edvias a worldwide, non-exclusive, royalty-free, transferable (only where reasonably necessary to operate the Services), sublicensable licence to:

Nothing in these Terms transfers ownership of your User Content to Edvias.
You are solely responsible for the User Content you upload, create or share through the Services.
By submitting User Content, you represent and warrant that:

You must not upload, submit, generate or distribute content that:

Any wilful, intentional, or reckless breach of this clause is a material breach of this agreement, as to which Edvias may suspend or cancel your account and take all reasonable measures to address the breach including by reporting it to any relevant authorities.
Edvias provides AI-powered educational tools designed to assist learning.
AI Features may include:
The availability of AI Features may change over time.
AI responses are generated automatically and may not always be accurate, complete, current or suitable for your circumstances.
You should independently verify important information before relying upon it.
Your use of AI Features is also governed by the AI & Academic Integrity Policy.
Edvias may at its sole discretion allow users to connect with one another through Connections or similar networking features.
You control whether to accept or decline Connection requests.
You must not use Connections to:
Edvias may limit, suspend or remove Connection functionality where necessary to protect users or the Services.
Study Groups are intended to encourage collaboration and learning.
Study Group members are expected to:
Study Group creators or moderators may remove members from their groups, subject to the functionality available within the Services.
Edvias reserves the right to moderate or remove Study Group content that breaches these Terms or applicable law.
Where messaging features are available, users may communicate privately or within authorised groups.
You must not use messaging to:
Messages may be subject to moderation where reasonably necessary to investigate reports, enforce these Terms, comply with legal obligations or protect users.

Some users may choose to create a public profile.
Public profiles may display information that you choose to make visible, including:
Private information, including your email address, payment information, private AI conversations and private messages, is not intended to be publicly visible by default.
You remain responsible for information you choose to publish publicly.
The Services, including all software, code, designs, branding, logos, graphics, databases, AI systems, documentation, text, audiovisual material and other content made available by Edvias (excluding User Content), are owned by or licensed to Edvias and are protected by copyright, trade mark and other intellectual property laws.
Except as expressly permitted by these Terms or applicable law, you must not:
Nothing in these Terms grants you ownership of the Services or any Edvias intellectual property.
Any breach of this clause is a material breach and may result in consequences including, but not limited to: disqualification, suspension or cancellation of your account. Edvias reserves all rights to also commence legal proceedings against you for any wilful breaches in these regards.
We welcome suggestions, ideas and feedback about Edvias.
If you voluntarily provide feedback, recommendations or ideas relating to the Services, you grant Edvias a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, implement and incorporate that feedback without compensation or obligation to you.
You acknowledge that Edvias is not required to use any feedback provided.
Some features of the Services are available only through a paid Subscription.
Subscription plans may include different features, usage limits, storage limits, AI usage allowances, institution licences or other benefits.
The availability, pricing and features of Subscriptions may change over time at Edvias's sole discretion but only after giving reasonable notice to any existing account holders.
Your purchase and use of a Subscription are governed by these Terms and the Subscription & Billing Policy.
Edvias may provide certain Services free of charge.
Free Services may have:
We may modify or discontinue Free Services at any time at Edvias's sole discretion.
Where practical, reasonable notice will be provided before significant changes.
Subscription plans may include:
Specific pricing and included features are displayed or discussed before purchase.
Nothing in these Terms guarantees that a particular Subscription plan will remain available indefinitely.
Payments are processed using authorised third-party payment providers.
By purchasing a Subscription you authorise Edvias and its payment providers to process payments necessary to maintain your Subscription.
Recurring subscriptions automatically renew unless cancelled in accordance with the Subscription & Billing Policy.
Additional information regarding billing, renewals, failed payments, upgrades, downgrades, cancellations and refunds is contained within the Subscription & Billing Policy.
Nothing in these Terms excludes, restricts or modifies any guarantee, warranty, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or any other applicable legislation.
Where liability may lawfully be limited, our liability is limited to the maximum extent permitted by law.
The Services may integrate with or rely upon third-party products and services.

These providers operate independently of Edvias and any defects, issues or faults with their products and services are not the responsibility of Edvias nor is Edvias obligated to rectify such defects or faults other than to use reasonable endeavors to request the 3rd party to do so.
Your use of third-party services may also be governed by their own terms and privacy policies.
Edvias is not responsible for third-party services except to the extent required by applicable law.
You may choose to access the Services using third-party authentication providers such as:

You may disconnect supported authentication providers where functionality permits.
To provide AI-powered functionality, Edvias may engage authorised third-party AI service providers.
Depending on the feature used, information such as prompts, uploaded documents, OCR results or voice transcripts may be processed by those providers on behalf of Edvias.
The use of personal information in connection with AI Features is explained further in the Privacy Policy.
AI usage expectations are described in the AI & Academic Integrity Policy.
We aim to provide reliable and secure Services.
However, the Services may occasionally be unavailable due to:
We do not guarantee uninterrupted or error-free operation of the Services.
You will hold Edvias harmless and not be entitled to claim for any alleged losses, damages or other such claims in the event of any outages or disconnection.
Nothing in this section limits any non-excludable rights under applicable law.

Some updates may be required to continue using certain features and may be made at Edvias' sole and unfettered discretion.
From time to time, Edvias may offer experimental or beta features.

Educational content made available through the Services is provided for general educational purposes.

The Services, including AI-generated responses, educational content and study tools, are provided for general educational and informational purposes and are not a substitute for professional advice or services where these are required.
Unless expressly stated otherwise, the Services do not constitute:
Edvias is not a school, university, registered training organisation or accreditation body merely by providing the Services.
AI-generated responses and educational content may be incomplete, inaccurate or unsuitable for a user's particular circumstances. Users should independently verify important information and obtain advice from an appropriately qualified professional where necessary.
The Services are intended to support learning and are not a substitute for a teacher, tutor, educational institution or other qualified professional where professional or individualised assistance is required.
Nothing in this section limits any rights or remedies that cannot lawfully be excluded under applicable law.
Your privacy is important to us.
Our collection, use, storage, processing and disclosure of personal information in connection with the Services are described in our Privacy Policy and any additional privacy notices presented to you where applicable.
By using the Services, you acknowledge that your personal information will be handled as described in our Privacy Policy, subject to applicable privacy law.
Where consent is required by applicable law for a particular collection, use or disclosure of personal information, we will seek that consent where required.
We implement reasonable technical and organisational measures designed to protect the Services and user information.

Edvias is not responsible for interruptions, failures or acts or omissions of independent third-party providers except where liability cannot lawfully be excluded.
To the maximum extent permitted by law, Edvias and its directors, officers, employees, contractors and licensors are not liable for any indirect, incidental, consequential, special, exemplary or punitive loss or damage arising out of or in connection with your use of, or inability to use, the Services.

For Services supplied to consumers under the Australian Consumer Law, where liability may lawfully be limited, Edvias' liability is limited (at our option) to one or more of the following:

This indemnity survives termination of these Terms and the contracted relationship between you and Edvias.
Nothing in this clause requires you to indemnify Edvias to the extent that the relevant claim arises from Edvias' own negligence, wilful misconduct or breach of applicable law.
Edvias is not responsible for delays or failures to perform obligations under these Terms where the delay or failure results from events beyond our reasonable control.
Such events may include:
We will use reasonable efforts to resume normal operation as soon as reasonably practicable in such events, but we are not obligated to do so if the costs of doing so are, in our sole opinion, unreasonable or disproportionally high.
We may suspend or restrict access to all or part of the Services where we reasonably believe it is necessary to:

Termination or closure of your Account does not automatically remove User Content that you previously shared with other users or contributed to Study Groups, group projects, discussions or other collaborative areas of the Services.
Where reasonably necessary to preserve a group project, conversation, shared resource, academic record or the contributions of other users, Edvias may retain and continue to make that User Content available after termination or closure of your Account.
If you request removal of User Content that forms part of a group project or other collaborative content, Edvias may consider whether removal is reasonably practicable and whether it would materially affect the project, its context, the rights or contributions of other users, or the operation of the Services. Where appropriate, Edvias may remove or de-identify information identifying you rather than removing the underlying contribution.
Where removal would not materially affect other users, the integrity or context of collaborative content, or Edvias' legitimate legal, security or operational requirements, Edvias may remove the content following a reasonable request, subject to our Privacy Policy and applicable law.
Nothing in this section limits any rights you may have to request deletion of personal information under applicable law.
Any provisions of these Terms which by their nature are intended to continue after termination will survive termination.
By creating an Account or using the Services, you agree to receive communications from Edvias electronically.
These communications may include:

You may unsubscribe from marketing communications at any time, but you will continue to receive essential service-related communications where necessary.
Edvias may continually develop and improve the Services at its discretion.

Failure or delay by Edvias to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.
Any waiver must be in writing and applies only to the specific circumstance for which it is given.
These Terms, together with the documents expressly incorporated by reference, constitute the entire agreement between you and Edvias regarding the Services.
They replace all prior discussions, understandings and agreements relating to the Services to the extent permitted by law.
Nothing in this clause limits any rights that cannot lawfully be excluded.
These Terms are governed by the laws of New South Wales, Australia.
You and Edvias submit to the non-exclusive jurisdiction of the courts of New South Wales and any courts entitled to hear appeals from those courts.
Nothing in these Terms limits any mandatory rights available to consumers under applicable law.
